1. Scope of Services

Techtency provides a suite of digital transformation services. Each project will be governed by a specific Statement of Work (SOW) or Service Agreement that outlines the exact deliverables, timelines, and costs. In the event of a conflict, the project-specific SOW will take precedence over these general terms.

2. Client Responsibilities

For us to maintain our value of Unwavering Consistency, we require your active collaboration. You agree to:

• Provide timely feedback and approvals.

• Supply necessary brand assets, data, and access to internal systems as required.

• Ensure that all information provided to us is accurate and that you own the rights to any content you provide.

3. Intellectual Property & Confidentiality

• Your Materials: You retain all rights to the data, logos, and proprietary content you provide to us.

• Custom Deliverables: Upon full and final payment, ownership of the specific, final visual deliverables designed for your project is transferred to you.

• Proprietary Knowledge & Source Code: Techtency retains all rights, titles, and interests in its internal strategies, proprietary methodologies, core website architectures, and underlying application codes.

• Subjectivity of Transfer: The transfer of any source code or internal strategy is entirely subjective and at the sole discretion of Techtency. These elements are considered highly confidential and the “Intellectual DNA” of our firm. Unless explicitly agreed upon in writing within a specific SOW, these assets remain the exclusive property of Techtency.

4. Payment & Billing

• Consistency in Billing: Payment terms will be detailed in your specific agreement.

• Late Payments: To maintain project momentum, timely payments are required. Late payments may result in a temporary suspension of services.

5. Confidentiality

Both parties agree to protect and keep confidential all non-public information shared during the course of the project. This includes business strategies, software logic, and customer data.

6. Limitation of Liability

Techtency strives for precision, but we operate in an evolving digital landscape.

• We are not liable for lost profits, data loss, or indirect damages resulting from third-party platform changes.

• Our total liability is limited to the amount paid by the client for the specific service in question during the 6 months preceding the claim.

7. Termination

Either party may terminate a project or service agreement with 30 days’ written notice. Upon termination, the client is responsible for payment for all work completed up to that date.

8. Warranties & Support

We warrant that our services will be performed in a professional manner consistent with industry standards. Specific support terms for ERP systems will be defined in your individual Service Level Agreement (SLA).

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be resolved in the courts of Bangalore.
